These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Tellus ("Tellus," "we," "us," or "our"), the operator of the database management platform accessible at tellusplatform.site ("Platform"). By accessing or using the Platform in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Definitions

"Platform" means the Tellus database management service, including all web interfaces, APIs, backend services, AI analysis features, and any associated tools or documentation made available at tellusplatform.site or through the Tellus API.

"Connected Database" means any external database system — including but not limited to MySQL, MongoDB, PostgreSQL, Firebase/Firestore, or any other supported database provider — that you link to the Platform by providing connection credentials.

"Project" means a configured connection to a single Connected Database within the Platform, along with its associated settings, cached schema data, and access controls.

"Workspace" means a shared environment within the Platform that groups multiple Projects and allows multiple Users to collaborate under unified access controls and billing.

"User Data" means all data, records, schemas, configurations, and content that resides in your Connected Databases or that you input into the Platform.

"Credentials" means any connection strings, hostnames, ports, usernames, passwords, API keys, service account files, authentication tokens, or any other secrets required to establish a connection to a Connected Database.

"AI Features" means the artificial intelligence and machine learning capabilities within the Platform, including database health analysis, natural language querying, automated report generation, and AI-assisted data management.

1. Acceptance of terms

By creating a Tellus account, connecting a database to the Platform, or by accessing any feature of the Platform, you affirm that you are of legal age to enter into this agreement in your jurisdiction and that you have the legal capacity to do so. If you are using the Platform on behalf of an organisation, you represent and warrant that you are authorised to bind that organisation to these Terms.

Your continued use of the Platform following any modification to these Terms constitutes your acceptance of those modifications. It is your responsibility to review these Terms periodically. These Terms supersede all prior or contemporaneous agreements, representations, warranties, and understandings between you and Tellus with respect to the Platform.

2. Platform scope

The Tellus Platform is a database management and analytics service that enables you to connect, query, visualise, and manage data across multiple external database providers through a unified interface. The Platform includes the following components, all of which are governed by these Terms.

The Tellus Dashboard is the primary web-based interface accessible at tellusplatform.site, through which you connect databases, browse schemas, view and modify records, and manage projects and workspaces.

The Tellus API provides programmatic access to Platform functionality, enabling automated database operations, data retrieval, and integration with external systems.

The AI Analysis Engine provides automated database health scoring, natural language query capabilities, schema optimisation recommendations, and intelligent report generation powered by third-party large language model providers.

The Workspace and Collaboration System enables multi-user access to shared projects with role-based permissions, audit logging, and team management capabilities.

Any future products or services that Tellus introduces, including mobile applications, additional integrations, or new features, shall be governed by these Terms unless separate terms are published for them.

3. License and permitted use

Subject to your compliance with these Terms, Tellus grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your own internal business or personal purposes. This licence does not include any right to resell or make commercial use of the Platform or its contents, to collect and use any product or service descriptions, or to make derivative uses of the Platform.

You may use the Platform to: connect databases that you own or have explicit authorisation to access; query, insert, update, and delete records in your Connected Databases; generate reports and health analyses on your own database schemas; invite team members to collaborate on your Projects and Workspaces; and access the Platform programmatically through our API in accordance with applicable rate limits and usage policies.

You may not use the Platform to: connect to databases that you do not own or have explicit written permission to access; circumvent, disable, or otherwise interfere with security-related features of the Platform; use the Platform to design, develop, or market a competing database management product; resell, sublicence, or provide access to the Platform to any third party as a standalone service; engage in any automated scraping or harvesting of data from databases you do not own; conduct load testing, penetration testing, or denial-of-service activities without prior written consent from Tellus; or use the Platform for any purpose that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.

Tellus reserves the right to investigate and take appropriate legal action against anyone who, in Tellus's sole discretion, violates this provision, including without limitation reporting such behaviour to law enforcement authorities.

4. User accounts

To access the Platform, you must register for an account and provide accurate, current, and complete information as prompted by the registration process. You agree to maintain and promptly update your account information to keep it accurate, current, and complete. Tellus reserves the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, not current, or incomplete.

You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account, whether or not authorised by you. You agree to notify Tellus immediately upon becoming aware of any unauthorised use of your account or any other breach of security. Tellus will not be liable for any loss or damage arising from your failure to comply with this obligation.

You may not create an account on behalf of another person without their express consent. You may not transfer your account to another person. Each individual user must maintain their own account — sharing login credentials between multiple people is prohibited and may result in account suspension.

5. Database connections

The Platform enables you to connect external database systems by providing connection credentials. This functionality is central to the Platform's purpose and carries significant responsibilities that you explicitly accept by using it.

Authorisation requirement. You represent and warrant that you have full legal authorisation to access and perform operations on every database you connect to the Platform. Connecting to a database without authorisation may constitute unauthorised computer access under the laws of your jurisdiction. Tellus bears no liability for any legal consequences arising from unauthorised database access you conduct through the Platform.

Third-party database providers. The external database systems you connect to the Platform are independent third-party services operated by their respective providers. Tellus has no control over and accepts no responsibility for the availability, performance, pricing changes, feature deprecations, data handling practices, security posture, or terms of service of any third-party database provider. Your use of those services is governed exclusively by your agreements with those providers.

Connection limits and performance. Using the Platform will result in connection attempts and query execution against your Connected Database. Depending on your database provider's configuration and plan, this may count against connection limits, query quotas, or data transfer allocations imposed by that provider. You are solely responsible for monitoring and managing these limits and for any costs or service degradation resulting from Platform usage.

Network and firewall configuration. Enabling Platform access to your database may require you to modify firewall rules, IP allowlists, or network security groups. You are solely responsible for correctly configuring these controls. Misconfigured rules that expose your database to unintended public access are entirely your responsibility.

Write operations. The Platform enables you to insert, update, and delete records in your Connected Databases. These operations execute immediately and directly against your live database. There is no undo capability within the Platform. Tellus does not maintain backups of your data and has no ability to restore records deleted or modified through the Platform.

Schema changes. Certain Platform features may generate commands for schema modification. These are provided for informational purposes only. You must independently review any schema modification command before executing it. Tellus is not responsible for data loss, corruption, or service disruption resulting from schema changes executed through or suggested by the Platform.

6. Data responsibility

You are solely and exclusively responsible for all data stored in your Connected Databases, including its accuracy, legality, completeness, and appropriateness. Tellus acts as a management interface for data you already own and control; it does not validate, moderate, or take responsibility for the contents of your databases.

Backup obligation. You must maintain current, tested backups of all data in your Connected Databases. Tellus does not provide backup services, does not store copies of your database contents, and has no ability to recover your data following loss or corruption. The frequency and retention of backups is entirely your responsibility and should be determined based on the criticality and volume of your data.

Regulatory compliance. If your Connected Databases contain personal data, health records, financial information, or any other data subject to legal or regulatory obligations — including but not limited to GDPR, HIPAA, PCI-DSS, CCPA, or any other applicable data protection framework — you are solely responsible for ensuring your use of the Platform complies with all applicable requirements. Tellus makes no representation that the Platform is compliant with any specific regulatory framework.

Prohibited data. You may not use the Platform to manage data that is illegal under applicable law, that violates the rights of any third party, or that Tellus in its sole discretion determines to be harmful or contrary to its community standards. Tellus reserves the right to suspend access to any Project it reasonably believes contains prohibited data.

7. Credential security

Database credentials are among the most sensitive data you will entrust to the Platform. You acknowledge and accept the following regarding credential handling and your responsibilities in connection with it.

Minimum privilege principle. You must create a dedicated database user for Platform access with the minimum permissions necessary for the operations you intend to perform. You must not provide root, superuser, or administrative credentials to the Platform. Granting excessive privileges beyond those required for intended Platform operations is entirely at your own risk.

Credential rotation. You are responsible for rotating your database credentials on a regular schedule and immediately upon any suspected or confirmed unauthorised access. Tellus does not rotate credentials on your behalf. Following rotation, you must update your Project settings in the Platform to reflect the new credentials.

Breach notification. You must notify Tellus immediately upon discovering that credentials stored in your Platform account may have been compromised. Contact details are provided in §17. In parallel, you should immediately revoke the compromised credentials at the database provider level.

Account security. Your Tellus account controls access to your stored Project credentials. You must use a strong, unique password for your Tellus account and must not share it with any other person. Each team member who requires access to Projects must have their own individual Tellus account.

8. AI-powered features

The Platform includes AI-powered features that analyse your database schemas and data to generate health scores, recommendations, natural language responses, and other outputs. Use of these features is subject to the following additional terms.

Third-party LLM providers. AI features are powered by third-party large language model APIs. Data from your Connected Databases — specifically schema metadata and a limited number of sample records — is transmitted to these external providers when you invoke AI features. These providers operate under their own terms of service and privacy policies, which govern how they handle the data you transmit. You are responsible for reviewing and accepting the terms of the applicable LLM providers before using AI features.

Sensitive data warning. If your Connected Databases contain personal data, protected health information, financial records, legally privileged information, or any other category of sensitive or regulated data, you should carefully evaluate whether using AI features is appropriate. Tellus does not guarantee that data transmitted to LLM providers will not be retained or used by those providers in accordance with their own terms.

AI output accuracy. AI-generated health scores, schema recommendations, query suggestions, and all other AI outputs are provided for informational purposes only and do not constitute professional advice of any kind. Tellus makes no representation as to the accuracy, completeness, or fitness for purpose of any AI-generated output. You must independently verify all AI-generated content before acting on it.

No AI training on your data. Tellus does not use data from your Connected Databases to train its own AI models. Data transmitted to third-party LLM providers is subject to those providers' data usage policies.

9. Workspaces and teams

The Platform's Workspace feature allows multiple users to collaborate on shared Projects. Workspace owners and administrators bear responsibility for all actions taken by members of their Workspace.

Owner responsibility. As a Workspace owner or administrator, you are responsible for managing member access appropriately, ensuring that roles reflect the access required for each member's responsibilities, promptly removing access for individuals who no longer require it, and ensuring that all Workspace members are aware of and comply with these Terms.

Member actions. All operations performed by any Workspace member on Projects within your Workspace — including record modifications, deletions, credential updates, and AI scan invocations — are conducted under your Workspace's authority. You accept liability for all such actions as if you had performed them yourself.

Access control. The Platform provides role-based access controls to help you manage member permissions. It is your responsibility to configure these controls correctly. Tellus is not responsible for data loss, unauthorised modifications, or security incidents resulting from incorrectly configured Workspace permissions.

10. Billing and payments

Access to certain Platform features or usage tiers may require payment of subscription fees or usage-based charges as specified in the pricing schedule published at tellusplatform.site/pricing, which may be updated from time to time with reasonable notice.

Payment obligations. By subscribing to a paid plan, you authorise Tellus to charge your payment method on the billing cycle you select. All fees are due in advance and are non-refundable except as expressly stated in our refund policy or required by applicable law. You are responsible for all taxes applicable to your subscription in your jurisdiction.

Failed payments. If a payment fails, Tellus will attempt to retry the charge. If payment cannot be collected, your account may be downgraded or suspended. Tellus will provide reasonable notice before suspending accounts due to payment failure.

Plan changes. You may upgrade or downgrade your subscription at any time through your account settings. Upgrades take effect immediately. Downgrades take effect at the end of the current billing period. Tellus reserves the right to modify pricing with at least 30 days' advance notice to affected users.

11. Termination

Termination by you. You may terminate your Tellus account at any time through your account settings or by contacting us at the address in §17. Upon termination, your Projects and associated configuration data will be deleted. Data in your Connected Databases is not affected by termination of your Tellus account.

Termination by Tellus. Tellus reserves the right to suspend or permanently terminate your account, without notice, if it determines that you have violated these Terms, engaged in fraudulent or unlawful activity, or caused harm to other users or third parties. Tellus will endeavour to provide advance notice of termination where practical, except where doing so would compromise security or legal obligations.

Effect of termination. Upon termination of your account, your licence to use the Platform ceases immediately. Provisions that by their nature should survive termination — including §6, §7, §13, §14, and §15 — shall survive.

12. No warranty

The Platform is provided on an "as is" and "as available" basis, without any representation, warranty, or condition of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, Tellus expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Tellus does not warrant that the Platform will be uninterrupted, error-free, or secure; that defects will be corrected; that the Platform will meet your requirements; or that results obtained from use of the Platform will be accurate or reliable. You acknowledge that database management operations carry inherent risks, including risk of data loss, corruption, and unintended modification, and you assume all such risks in connection with your use of the Platform.

13. Limitation of liability

To the maximum extent permitted by applicable law, Tellus and its officers, directors, employees, agents, licensors, and service providers shall not be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunities, or other intangible losses, arising out of or in connection with your use of or inability to use the Platform, regardless of the theory of liability, even if Tellus has been advised of the possibility of such damages.

Without limiting the foregoing, Tellus shall not be liable for: any loss or corruption of data in your Connected Databases; any unauthorised access to your Connected Databases resulting from your configuration choices or credential management practices; any service interruptions caused by third-party database providers or LLM API providers; any inaccuracy in AI-generated content; any compliance penalties or regulatory sanctions resulting from your use of the Platform; or any actions taken by Workspace members under your account.

To the maximum extent permitted by applicable law, Tellus's total aggregate liability to you for all claims arising out of or related to these Terms shall not exceed the greater of (a) the total fees paid by you to Tellus in the twelve months preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD $100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Tellus and its officers, directors, employees, agents, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your violation of these Terms; your use or misuse of the Platform; your User Data or Connected Database contents; your violation of any third party's rights; your violation of any applicable law or regulation; or any database access performed through the Platform that you were not authorised to conduct.

15. Governing law and disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tellus is legally incorporated, without giving effect to any conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts of competent jurisdiction in that territory for resolution of any disputes arising under these Terms.

Informal resolution. Before initiating any formal legal proceeding, you agree to contact Tellus at the address in §17 and attempt to resolve any dispute informally. Tellus will make reasonable efforts to resolve disputes within 30 days of receiving written notice. If the dispute cannot be resolved informally within that period, either party may pursue formal legal remedies.

Class action waiver. To the extent permitted by applicable law, you agree that any claims against Tellus must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

16. Changes to these terms

Tellus reserves the right to modify these Terms at any time. When we make material changes, we will provide notice by email to the address associated with your account and by posting a prominent notice on the Platform for at least 30 days prior to the changes taking effect. Your continued use of the Platform after the effective date of any revision constitutes your acceptance of the updated Terms.

For minor, non-material changes — such as typographical corrections, clarifications that do not alter the substance of the Terms, or updates to contact information — Tellus may update these Terms without advance notice, though the revision date will always be updated to reflect any change.
